PROCEDURE:

1.        Buyer issues detail LOI/ICPO/BCL

2.       Seller issues FCO (Full Corporate Offer)

3.       Buyer signs, seals and return the FCO to Seller

4.       Seller will issues drafts of the Sales/Purchase contract open for amendments

5.       Buyer signs and seals Draft Contract after revision and returns signed Draft Contract

6.       Seller issues final contract and the hard copies are signed and exchanged at a face-to-face meeting between the parties by visiting the factory of production or via express international courier

7.       Seller is responsible for registration and legalization of the international contract with the Refinery at Ministry of industry and trade of Russia federation and for obtaining of the "Certificate of Product Ownership & Allocation Code”. Seller finalizes and verifies the shipment schedule with shipping Companies and confirms it to the Buyer

8.       The Buyer and Seller each lodge a hard copy of the final contract in the respective banks, negotiate and confirm to each other the wording, terms and conditions of Draft of Letter of Credit and wording of PB

9.       After Seller's approval of the Draft of Letter of Credit, Buyers Bank, within Five (5) banking days will issue a Non-Operative ARDLC to Seller' Bank

10.   Seller's Bank, within Ten (10) days upon receiving Non-Operative ARDLC from Buyer's Bank, will handle a POP (Proof of Product) and will issue a PB in amount of 2% of the ARDLC value that makes the ARDLC "operative"

11.   Shipments shall commence after fulfillment the necessary procedures, acceptance of instructions from the Buyer and as per the contracts terms and conditions
